A counterparty is more than a name on a contract. BSOCIETY examines the entity, the people, the relationships and the material facts behind the role it proposes to play.
Meet with an expertCorporate identity and history.
We establish the relevant legal entity and review corporate history, registration information, management and ownership evidence. Group names and common branding are not substitutes for identifying the company that will assume the obligation.
Historical context can matter as much as current status: changes in control, management, address or activity may explain apparent inconsistencies or introduce questions that a current snapshot misses.
People and related entities.
Relevant shareholders, beneficial-ownership indicators, directors, executives, affiliates and intermediaries are examined proportionately. Relationship mapping distinguishes documented links from assertions and inference.
A cross-border ownership chain may require work outside Brazil. Coverage depends on the jurisdictions, lawful sources and scope; inaccessible ownership layers remain an explicit limitation.
Litigation, sanctions and adverse information.
Public litigation, sanctions results and adverse media require careful identity resolution and contextual reading. We distinguish parties with similar names, allegations from outcomes, historic matters from current exposure and relevant facts from noise.
A database match is an investigative lead, not an automatic conclusion. An absence of matches does not demonstrate the absence of risk. Legal interpretation and sanctions applicability should be assessed by qualified counsel.
Capability in the transaction context.
The assessment considers operational footprint, public commercial history, representation claims and asset indicators where appropriate. The question is whether available evidence supports this party’s proposed role in this matter.
The output may identify corporate inconsistencies, unexplained relationships or gaps in the evidence behind capacity, authority and payment claims. It does not assign an unsupported binary approval label.
