The short answer
Verify five layers: the principal, the grantor’s authority, the operative scope, any delegation and present applicability. Authentic issuance does not by itself establish that the mandate covers this transaction.
Identify the principal named in the operative text.
Compare the company name and identifier in the operative provisions with the letterhead, signature block and offer. A producer’s brand on the cover can conceal an authorization issued by a trading affiliate. Establish which legal entity is actually granting the power and what role that entity plays in the supply chain.
Check a Brazilian principal through the official CNPJ service, then obtain relevant corporate instruments where authority matters. Preserve the document in the form received, including attachments. Ask for missing pages rather than inferring that standard terms apply. Record who supplied it: a broker’s forwarded copy does not independently establish provenance.
Extract the clauses that control the claim.
Build a worksheet from the actual language, not from the intermediary’s summary. Keep the exact clause reference next to each interpretation so counsel can check it. If an issue is silent or ambiguous, mark it that way rather than selecting the broadest commercially convenient reading.

Check the grantor’s authority at the relevant date.
Identify the person who signed for the principal and the corporate or delegated basis for granting those powers. The date of the mandate matters. A current administrator may not have held office then; a former administrator may have held it at issuance. Relevant filed acts and appointments can help reconstruct the chronology.
Check any joint-signature or approval requirement and whether the signatory could delegate the particular act. Signature appearance, notarization or a digital-validation result should not be treated as proof of every corporate power. Authentication of a signature and legal capacity to grant a mandate are separate questions requiring the appropriate evidence and, for legal effect, counsel’s analysis.
Trace every onward authorization.
If the named recipient is not the negotiator, obtain the evidence connecting them. Record each principal, agent, permitted act and source document. A commission agreement can explain why a person expects a fee without giving them authority to bind the producer. Do not use a fee distribution chart as a substitute for the authority chain.
A broad phrase in an intermediary’s own document cannot supply a power the upstream principal never granted. Identify the point where the claimed scope expands and ask for the missing authorization or clarification. Whether delegation is legally effective depends on the instrument and applicable law; the factual report should show counsel exactly where the evidence changes.
Confirm issuance, currency and this transaction separately.
Through an independently established channel and an agreed contact protocol, ask the principal whether it issued the document, whether the relevant authority remains in force and whether it covers the proposed act. Include the file reference or a secure copy as appropriate. “We recognize this letter” does not necessarily answer all three questions.
If a revised mandate is supplied, compare the dates, signatories and limits rather than overwriting the original. Ask whether the new version supersedes the old one. Preserve the exact response and its source. Non-response, confidentiality restrictions and inaccessible records should remain visible limitations, not be converted into conclusions about authenticity.
Keep the finding narrower than the document’s title.
Report principal identity, provenance, grantor authority, scope and current application as separate findings. This prevents one positive result from validating everything else. A useful conclusion identifies the specific power not established and the exact confirmation that could resolve it. It also records which version and intended transaction were reviewed.
For a buyer or lender, the practical handover is an authority gap analysis, not a “valid mandate” badge. Do not infer inventory, exclusivity, bank participation or delivery from an authorization unless separately supported. Link the finding to the requested commitment, then leave enforceability and contractual protections to the legal team.
